hey,i have a musicman stingray,i think my pickguard makes it look like a bar of soap,i was thinking about making one out of stainless steel. i know nothing about how my pickups work, will this mess with them at all?or will it change my tone?

A conductive pickguard would help shield your axe from hum even more, though armed with a stingray, you are already pretty quiet. I've wanted to try this on a strat for some time... using a brass pickguard.

A metal pickguard will alter your tone somewhat. There will be increased capacitance to the metal pickguard (I'm presuming that it will be grounded for hum shielding) as well as a shorted turn around each pickup (the metal pickguard) surrounded by the pickguard.
I don't know what the actual effect would be on your guitar.

lemme add one more thought...............
most stainless alloys are not ferromagnetic. BUT, a few are.
if you put a magnet against it and it sticks...........JUST SAY NO.*

I have a stainless pickguard on my black mim tele, and a brass one on a 'vintaged' home built strat. I think they both look so cool (well I would) and being quite fussy about tone I can report the difference is negligible if at all noticable. A stingray with a metal scratchplate would look the doggies doo-daas!

I wouldn't use a gasket, just make sure the back is nice and smooth, no burrs or sharp edges where you've shaped the edge or drilled holes for fixing screws.

Um......actually in the process of making an aluminium (OK...aluminum!) plate one for a Tele 72 Custom RI.....when it all finally happens, I'll let you know how it sounds......could be a little while yet as wholesale other mods going on as well in the same beast.....
